Official Profiles – Terms & Conditions

These Official Profiles Terms & Conditions (“Premium Terms”) govern the access to and use of Official Profiles within the Billions Network (“Billions” or the “Platform”).

These Premium Terms supplement and form an integral part of the general Billions Network Terms & Conditions. In the event of any inconsistency, these Premium Terms shall prevail solely with respect to Official Profiles.

By purchasing, claiming, activating, verifying your identity, or general usage including but not limited to sharing your or updating your   Premium Profile, you have confirmed that you have read, understood, and agreed to be bound by these Premium Terms.

1. Nature and Scope of Official Profiles

A Premium Profile is currently focused to be used as a  digital product that enhances a user’s Official Profiles on the Billions Platform by providing additional features, visibility indicators, status attributes, time-limited benefits, and access to Premium-specific functionalities.

Official Profiles:

• Are not financial products, securities, crypto-assets, investment instruments, or electronic money;
• Are not covered by Regulation (EU) 2023/1114 (MiCA);
• Serve exclusively identity, reputation, and platform utility purposes.

2. Eligibility

To access or activate a Premium Profile, users must:

• Hold an active Billions account and Official Profiles;
• Be in good standing with the Platform;
• Complete any required verification steps;
• Not be subject to geographic, legal, or compliance restrictions.
• Where applicable, pay the applicable price or satisfy the alternative access conditions made available through the Platform (including, where applicable, vouchers, promotional codes, or referral programs).

Billions reserves the right to deny, suspend, or revoke access to Official Profiles where required for legal, compliance, fraud prevention, abuse and safety of the community or Network or risk-management purposes.

3. Purchase Limits 

Each user account may purchase and activate an Official Profiles only once per applicable validity period.

Official Profiles and related vouchers are offered at fixed prices displayed at the time of purchase and are not designed to support repeated or high-frequency transactions.

Billions reserves the right to restrict or refuse purchases where unusual usage patterns, abuse, or risk indicators are detected.

4. Pricing, Discounts and Referrals

4.1 Standard Pricing

Official Profiles are offered at the standard prices displayed in the embedded store interface.

4.2 Referral-Based Discounts Only

Discounts or preferential pricing are available exclusively through referral-based campaigns.

Users accessing the store without a valid referral:

• Will be shown standard, non-discounted prices;
• Are not entitled to retroactive discounts.
  
  

4.3 Voucher Codes and Referral Links

Eligible users may apply discounts by:

• Entering a valid voucher code in the designated input field; or
• Accessing the store via a valid referral link.
  
  

Billions reserves the right to validate, suspend, revoke, or limit voucher codes at its discretion.

5. Store Access and Voucher Redemption

5.1 Embedded Store Experience

Official Profiles and vouchers are offered through an embedded third-party store interface made accessible within the Platform.

Billions does not operate a native in-app store for Official Profiles.

5.2 Voucher Redemption

Vouchers may be redeemed directly from the store page, including via tables or equivalent interfaces provided within the embedded store.

Redemption is subject to:

• Voucher validity;
• Availability;
• Compliance with these Premium Terms.
  
  

6. Payments, Embedded Checkout and Voucher Issuance

6.1 Non-Custodial Embedded Payment Architecture

Purchases of Official Profiles and Premium vouchers are completed exclusively through a non-custodial, embedded crypto checkout operated by third-party payment service providers and/or smart contract infrastructure.

Billions acts solely as the provider of a digital service and does not:

• Hold, custody, receive, control, or manage user funds;
• Operate user wallets, payment accounts, balances, or stored-value instruments;
• Provide payment services, money transmission, escrow, or e-money services;
  Intervene in the authorization, execution, settlement, or reversal of transactions.
  
  

At no point are monetary balances recorded, stored, locked, or retained within the Platform.

6.2 User-Initiated Wallet Authorization

All payments are initiated directly by the user from a self-custodial wallet using supported stablecoins (such as USDT or USDC) on supported blockchain networks.

To complete a purchase, the user must explicitly connect their wallet and authorize an on-chain transaction for the exact purchase amount.

Billions:

• Does not collect, access, or process private keys, seed phrases, or wallet credentials;
• Does not directly initiate, authorize, cancel, modify, or reverse blockchain transactions on behalf of users.
  
  

If a transaction is rejected, cancelled, or fails on-chain, no voucher will be issued and no Premium Profile benefits will be activated.

6.3 Role of Embedded Payment Providers

Payment authorization, on-chain transfer validation, and settlement are performed exclusively by the applicable third-party payment provider and/or its smart contracts, in accordance with their own terms and conditions.

Billions’ involvement is strictly limited to receiving or polling transaction status information (e.g. pending, succeeded, failed) for the sole purpose of determining whether digital content may be issued.

Billions does not maintain transaction accounts, monetary ledgers, or user balances.

6.4 Conditional Voucher Issuance

Premium vouchers are purely digital, non-financial instruments.

Vouchers are generated only after Billions receives confirmation of a successful on-chain payment from the embedded payment provider.

Upon successful payment, Billions may issue one or more single-use voucher codes off-chain and associate them with the user’s account, including:

• Product type (e.g. 1-year or 6-year Premium);
• Purchase timestamp;
• Voucher validity or expiry date;
• Redemption status (unused, redeemed, expired).
  
  

Voucher issuance does not constitute the holding, storage, conversion, or administration of funds and does not create any monetary claim, credit, or right of reimbursement against Billions.

6.5 No Stored Value or Refundable Balance

Premium vouchers and Official Profiles do not represent stored value, prepaid funds, electronic money, or any claim against Billions.

All purchases are final, subject to Section 11 (No Refund Policy), and are treated as the supply of digital services or digital content delivered immediately upon issuance or activation, to the maximum extent permitted by applicable law.

7. Validity Period and Expiration

Official Profiles are issued for a fixed validity period, which is clearly displayed within the Platform interface.

Upon expiration:

• All Premium benefits automatically cease;
• The profile reverts to a standard Official Profiles unless renewed or reactivated.
  
  

No automatic renewal applies unless expressly stated at the time of activation.

8. Power, Rewards and Benefits

Official Profiles may provide:

• Additional Power or Power-related enhancements;
• Access to Premium-only rewards, vouchers, or campaigns;
• Profile indicators or visibility enhancements.
  
  

All Power, rewards, and benefits:

• Are non-transferable;
  Have no monetary or cash value;
• May be modified, rebalanced, suspended, or revoked under Platform rules.
  
  

Billions does not guarantee eligibility for, or receipt of, any airdrop, reward, or future benefit.

9. AML / KYC Clarifications

9.1 Current Non-Regulated Phase

At the current stage:

• Billions does not currently operate under a specific licensing regime for this feature.
• Any controls implemented are risk-based measures.
  
  

9.2 Trigger of Regulated Obligations

If, in the future, any feature of Official Profiles is linked to the conversion of Power, rewards or other benefits, or if Billions otherwise becomes subject to mandatory AML / KYC rules under applicable law, additional obligations may apply.​
In such case:

• Completion of an identity verification (KYC) process to the standard required by applicable law will be mandatory before any such conversion, withdrawal or redemption is enabled.​
• Billions may request additional information, suspend or refuse conversions where KYC / AML checks cannot be satisfactorily completed or risks are identified.​
• Geo-blocking will also take place to ensure we are legally providing services 
• Additional terms and disclosures will apply.

10. Sanctioned Countries and Geographic Restrictions

Official Profiles are not available to users located in, citizens of, or accessing the Platform from sanctioned or restricted jurisdictions, including:

Afghanistan, Belarus, Burma (Myanmar), Central African Republic, Democratic Republic of the Congo, Cuba, Ethiopia, Iraq, Iran, Lebanon, Libya, Mali, Nicaragua, North Korea (DPRK), Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen.

Including any jurisdiction subject to sanctions under EU, UN, or equivalent regimes, as updated from time to time.

Billions may apply IP-based or other reasonable technical controls to enforce these restrictions.

11. No Refund Policy

All Premium Profile purchases and voucher redemptions are final and non-refundable.

To the maximum extent permitted by applicable law:

• Users waive any right of withdrawal or refund;
• Users acknowledge that Official Profiles constitute digital services or digital content delivered immediately upon purchase or activation.

Users are encouraged to review all pricing, validity periods, and conditions before completing any transaction.

Blockchain transactions are irreversible. Users should only proceed if they fully understand that payments cannot be technically reversed once executed.

By completing the purchase, you expressly consent to the immediate supply of digital services and acknowledge that you thereby lose your statutory right of withdrawal once the service is activated.

12. User Obligations and Misuse

Users must not:

• Circumvent spending limits or geographic restrictions;
• Use automation, bots, VPNs, or fraudulent methods;
• Misrepresent identity or eligibility.
  
  

Any misuse may result in suspension, revocation, or downgrade without refund or compensation.

13. Suspension, Revocation and Downgrade

Billions may suspend, revoke, or downgrade a Premium Profile where there is reasonable suspicion of:

• Fraud or abuse;
• Circumvention of safeguards;
• Violation of these Premium Terms or general Platform Terms.
  
  

Such actions do not entitle the user to compensation or damages.

14. Intellectual Property

All Premium Profile badges, indicators, designs, and interface elements remain the exclusive intellectual property of ZK ID Labs A.G.

Official Profiles do not imply endorsement, certification, or approval by Billions beyond the features expressly provided within the Platform.

15. Disclaimers and Limitation of Liability

Official Profiles are provided on an “as-is” and “as-available” basis.

Billions shall not be liable for:

• Expiration or loss of Premium status;
• Loss of Power or benefits;
• Indirect, incidental, or consequential damages.
  
  

16. Governing Law and Dispute Resolution

These Premium Terms are governed by the laws of Spain. Any disputes shall be resolved through binding arbitration, in accordance with the general Billions Network Terms & Conditions.

This clause does not affect mandatory consumer protection rights, including the right to bring claims before competent courts.
