Billions Leaderboard Campaign

Official Promotion Rules

1. Organizer Identification

This promotional campaign (the "Promotion") is organized by ZKID Labs AG, a Swiss company with its registered office at Baarerstrasse 98, 6300 Zug, Switzerland, registered with the Commercial Register under number CHE-182.634.424 MWST, and contact email hello@billions.network (the "Organizer" “Billions”).

2. Purpose of the Promotion

The Promotion may benefit participants who accumulate Power within the Billions Network platform. Power may be obtained through eligible in-app activities, including but not limited to verifying identity credentials, engaging with platform features, and inviting new valid users to join the network. Billions Network retains full discretion over the distribution, amount, and timing of any rewards, which are granted on a gratuitous basis and do not constitute compensation, consideration, or entitlement of any kind.

3. Promotion Period

The Promotion will run from May 4th, 09:00 CET and July 19th, 23:59 CET ****(the "Promotion Period").

Participations or power obtained outside this period will not be considered.

4. Eligibility

4.1. General Eligibility

Participation is open to individuals who meet the following requirements:

• Be at least 18 years of age.
• Have a valid account on the Billions Network platform.
• Accept and comply with the Billions Terms and Conditions.
• Reside in a jurisdiction where participation in such promotions is legally permitted.

The Organizer may exclude employees, contractors, and individuals directly affiliated with the Organizer from participating.

4.2 Eligibility and Restricted Jurisdictions

The Promotion is void where prohibited by law. The Promotion is not open to individuals located in or resident of jurisdictions subject to international sanctions, including but not limited to Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, or Luhansk regions. Participants are responsible for ensuring that participation and receipt of digital asset rewards is permitted in their jurisdiction.

5. Promotion Mechanics

The Promotion is a leaderboard-based competition where participants accumulate Power through eligible in-app activities. While inviting new valid users to join the platform through a unique referral link remains the primary source of Power, participants may also accumulate Power through other qualifying activities, including but not limited; completing Billions verification flows, verifying AI agent identity, and other activities as determined by Billions from time to time.

A valid referral is counted when a referred user registers through the participant’s referral link and obtains a Basic badge (uniqueness + verified email) during the Promotion Period.

The participant's position on the Human Leaderboard is determined by Power generated during the Promotion Period.

Leaderboard rankings are automatically updated based on the Power.

*Only Power obtaining during the Promotion Period will count toward the leaderboard ranking.

6. Fraud Prevention

The following practices are strictly prohibited:

• Self-referrals
• Creation of fake or duplicate accounts
• Use of bots or automated systems
• Manipulation of the referral system
• Misleading or deceptive promotional practices

The Organizer reserves the right to:

• Invalidate referrals considered fraudulent
• Disqualify participants
• Manually review the final leaderboard ranking

The final leaderboard ranking will be subject to verification by the Organizer before prizes are awarded.

7. Tie-Breaking Rules

If two or more participants have the same number of valid Power, the participant who reached that number earlier during the Promotion Period will rank higher on the leaderboard.

8. Automated decisions & appeals

The total prize pool for this Promotion will be announced through the official Billions channels. Prizes will be distributed among eligible participants according to the final leaderboard ranking and the conditions set out in the Promotion Rules and Rewards Terms.Rewards will be delivered in digital assets or tokens at the Organizer’s discretion to the digital wallet provided by the winner.

9. Prize Delivery

Winners will be announced through the official Billions social media channels, including X (Twitter) and Discord, within a reasonable period after the Promotion Period closes. Results will also be visible on the Human Leaderboard.

Prizes will be distributed within thirty (30) days after the final verification of the leaderboard results, unless technical or compliance checks require additional time.

Winners may be required to connect or provide a compatible crypto wallet in order to receive their rewards. If a winner does not have a wallet connected to their Billions account at the time of the announcement, the Organizer may request the winner to provide a valid wallet address to complete the prize delivery.

The Organizer shall not be responsible for errors in wallet addresses provided by the winners.

The Organizer reserves the right to delay prize distribution if additional verification or fraud checks are required.

10. Taxes

Participants are solely responsible for complying with any tax obligations arising from the receipt of prizes in accordance with the laws of their jurisdiction.

The Organizer may request additional information from winners to comply with legal or regulatory requirements.

11. Social media promotion

Participants promoting the Promotion on social media must comply with the rules and policies of those platforms.

Where applicable, participants must clearly disclose the promotional nature of their content (for example, using #ad, #sponsored, or "paid promotion") or other equivalent disclosure labels.

Compliance with disclosure requirements is the sole responsibility of the participant.

12. Data Protection

Personal data collected in connection with the Promotion will be processed by the Organizer in accordance with the Billions Privacy Policy.

Personal data may include account identifiers, referral activity data, wallet addresses, and contact information necessary to administer the Promotion.

The legal basis for the processing of personal data is:

• the performance of the Promotion and participation agreement (Article 6(1)(b) GDPR); and
• the legitimate interests of the Organizer in administering the Promotion, verifying referrals, preventing fraud, and delivering prizes (Article 6(1)(f) GDPR).

Personal data will be processed solely for the purposes of:

• administering the Promotion
• verifying valid referrals
• determining leaderboard rankings
• delivering prizes

Participants may exercise their rights of access, rectification, erasure, restriction, and objection by contacting the Organizer in accordance with the Privacy Policy.

13. Organizer rights

The Organizer reserves the right to:

• Modify or cancel the Promotion for justified reasons
• Update these Promotion Rules
• Disqualify participants who violate these rules

14. Limitation of Liability

To the extent permitted by applicable law, the Organizer shall not be liable for any technical failures, network issues, or other circumstances beyond its reasonable control that may affect participation in the Promotion.

15. Aceptance of the rules

Participation in the Promotion implies full acceptance of these Promotion Rules.
