- Introduction
1.1 Scope of the Terms
Billions Network is a digital identity platform developed and operated by Billions Network S.A. (“Billions”, “we”, “us” or “our”).
These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“you” or the “User”) and Billions, and govern your access to and use of:
- the Billions mobile application;
- the Billions web wallet available at wallet.billions.network;
- the Identity Dashboard;
- digital services for identity verification, issuance and management of identity credentials, including cryptographic and zero-knowledge proof technologies; and
- any other product, functionality, content or service that Billions makes available and expressly designates as subject to these Terms
(collectively, the “Platform” or the “Services”).
These Terms apply to all Users of the Platform, regardless of the device or interface used, and must be read together with our Privacy Policy, which forms an integral part of this agreement.
2. Description of the Platform
Billions (“Billions” or the “Platform”) is a secure identity Platform that allows both humans and AI to prove who they are online without revealing personal data. Billions uses privacy-preserving technology, including Zero-Knowledge (ZK) proofs, to give users control over their identity and how it is verified. Through digital services and Identity Wallet, users can create and manage a unique digital identity and access Platform features such as onboarding activities and referral programs.
The Platform currently provides three main user experiences:
(i) The identity Dashboard (which is progressively replacing the legacy Registration Portal, signup.billions.network), designed to reward community participation and provide visibility into verification status, Power, and referrals;
(ii) the Identity Wallet (wallet.billions.network), where users store and manage their identity credentials (Billions does not custody users’ private keys).
(iii) other digital services and Platform functionalities, made available through official.app or other interfaces or domains operated by Billions, through which users may activate, manage, or view features and capabilities associated with their account, identity, and participation within the ecosystem.
Users may access these services through the Billions mobile application and/or via web interfaces, depending on the specific feature..
The Identity Dashboard is designed to support onboarding and community participation through activities such as identity verification and referral programs. Users may earn Power for completing campaigns and may become eligible for promotional benefits, subject to additional requirements and verification.
2.1 Account Creation and Social Login
Users may register and access the App by signing in with supported third-party authentication providers, including Apple and Google, and crypto wallets. By completing the registration process, users create a unique profile within the Platform.
2.2 Identity Verification Methods
Following registration, users may complete different verification flows such as:
(i) human verification via face scan, and/or
(ii) government ID verification using supported methods such as NFC-enabled passports or Aadhaar QR codes (where available).
This verification process may strengthen trust and enhance the overall integrity of the Platform.
2.3 Credential Issuance and Feature Access
Billions issues verifiable credentials (“Credentials”) to users’ identity wallets based on the verification steps they complete. Credentials are privacy-preserving digital certificates that enable users to prove attributes about themselves using cryptography (including ZK proofs), without exposing unnecessary personal data. Billions may offer different types of Credentials, including Human, Verified Human, and Uniqueness credentials, depending on availability and user eligibility.
These credentials may enable access to certain Platform features, verification badges, rewards, and other benefits within the ecosystem, and may be required to participate in specific initiatives, campaigns, or promotional programs.
2.4 Social Engagement Options
Users are encouraged to engage with the broader community through the following actions:
- Verify their identity.
- Follow the Platform on X (formerly Twitter).
- Join the official Discord server.
These engagements may be rewarded as part of specific campaigns or initiatives.
For the avoidance of doubt, any such social or community engagement is optional and governed by Section 2.7 (Third-Party Platforms).
2.5 Referral System and Power Accumulation
Each user is provided with a unique referral link which can be shared with third parties. When a new user signs up using a referral link:
- Both the referrer and the referee can earn Power.
- Accumulated Power may contribute to eligibility for airdrop opportunities and other promotional benefits, subject to additional checks, eligibility criteria, and availability.
The Power system is intended to recognize and reward community-driven growth and participation.
2.6 Access to the Identity Dashboard
Registered users may access the Identity Dashboard, a dedicated interface that provides additional resources, tools, and visibility into the user’s participation and earned benefits within the Platform.
2.7 Third-Party Platforms.
Any references in these Terms to social media platforms, community channels, or external services (including X, Discord, or similar platforms) refer to optional third-party services operated independently from Billions. Such platforms do not form part of the core digital identity services of the Platform and are not required to access or use essential Platform functionalities.
3. Registration & Account Management
To use the Platform, you must:
- Sign up using Google or Apple authentication, or a crypto wallet; and
- Consent to the current Privacy Policy and agree to the Terms of Use at the time of account creation, and upon subsequent login if either document has significant changed;
- Provide basic information, including email, name, and avatar (from Google, if applicable).
- Be of legal age.
You may log out at any time. You may request deletion of your account through the Platform. Certain information (including issued credentials, audit logs, or records required for security, fraud prevention, or legal compliance) may be retained or may not be technically deletable, as further described in our Privacy Policy.
4. Sanctioned Countries and Geographic Restrictions
Billions is not available to users who are located in, are citizens of, or access the Platform from sanctioned or restricted jurisdictions, including:
Afghanistan, Belarus, Burma (Myanmar), Central African Republic, Democratic Republic of the Congo, Cuba, Ethiopia, Iraq, Iran, Lebanon, Libya, Mali, Nicaragua, North Korea (DPRK), Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, Yemen.
This includes any jurisdiction subject to sanctions under EU, UN, or equivalent sanctions regimes, as updated from time to time.
Billions may apply IP-based restrictions or other reasonable technical controls to enforce these restrictions.
Certain features, verification methods, or credential issuance may be restricted or unavailable in certain jurisdictions.
Restrictions are based on the user’s place of residence or effective access location, as determined through reasonable technical measures.
5. Power System & Rewards
5.1 Power (Non-Crypto Participation Metric)
Users may earn Power as a result of certain participation activities on the Platform, such as referring other users who have successfully completed the applicable verification, uniqueness, or anti-sybil requirements, or completing onboarding or community-related campaigns as may be made available from time to time.
Power is a non-transferable, non-financial, off-chain metric used solely within the Platform to reflect user participation and engagement. Power does not constitute a crypto-asset, has no monetary value, cannot be exchanged, redeemed, sold, or transferred, and does not represent any form of consideration, investment, or financial instrument.
Power may be taken into account solely for the purpose of assessing eligibility for certain promotional campaigns, incentive programs, or ecosystem-related initiatives, which may be subject to additional conditions, verification requirements, jurisdictional restrictions, and availability, as determined by Billions.
For the avoidance of doubt, the accumulation or holding of Power does not, by itself, create any right, entitlement, or legally enforceable claim to receive $BILL Tokens, other crypto-assets, rewards, or any economic or financial benefit.
Power may be taken into account as one of several non-financial criteria when assessing user participation or eligibility in connection with certain ecosystem initiatives, where expressly described, but does not constitute consideration, payment, or a guarantee of any token allocation, reward, or benefit.
Any decision to distribute tokens or other benefits, if applicable, remains subject to additional conditions, eligibility requirements, technical constraints, regulatory compliance, and discretionary determinations by Billions, as further described in the applicable documentation.
5.2 $BILL Token and Token Generation Event (TGE)
The Billions ecosystem may, in the future, include a native crypto-asset known as “BILL” (the “$BILL Token”), as further described in the applicable MiCA White Paper.
The $BILL Token is a utility token within the meaning of Regulation (EU) 2023/1114 (“MiCA”) and is intended to provide access to specific digital services, functionalities, and participation mechanisms within the Billions ecosystem, including identity-related services, verification processes, staking-based reputation mechanisms, and other utilities expressly described in the White Paper and related documentation.
The $BILL Token is not:
- a deposit, savings product, or payment account;
- an electronic money token or an asset-referenced token;
- a financial instrument, security, or investment product; nor
- a claim against Billions Network S.A. or any affiliated entity for repayment of money, profit participation, yield, or return.
The acquisition, holding, or use of $BILL Tokens does not confer ownership rights, governance rights (unless expressly introduced in later protocol phases), profit-sharing rights, or any other rights commonly associated with shares, debt instruments, or financial products.
Any Token Generation Event (“TGE”), token distribution, or admission to trading of $BILL Tokens shall be conducted in accordance with MiCA and as described in the applicable White Paper. The availability, functionality, and utility of the $BILL Token may evolve over time and remain subject to regulatory requirements, technical constraints, and ecosystem development.
Billions does not provide crypto-asset services within the meaning of Regulation (EU) 2023/1114 unless expressly stated.
6. Verification System
6.1 General Verification Steps
Users may undergo one or more verification processes, depending on the specific feature, campaign, or service accessed. Core verification steps may include technical or cryptographic checks designed to ensure authenticity, integrity, and resistance to automated abuse.
Core verification processes may include, where applicable:
- Ethereum Wallet Verification (wallet connection, balance verification, ENS verification).
- reCAPTCHA Verification or similar technical verification mechanisms (to ensure authenticity).
Where offered, certain additional verification or engagement steps may involve interactions with third-party platforms operated independently from Billions, including social or community platforms. Such steps may include, for example:
- Confirmation of engagement with Billions-related content on third-party social platforms (e.g., following or interacting with content).
- Confirmation of participation in third-party community channels.
Any such third-party verification or engagement steps are optional, are offered solely in connection with specific campaigns or community initiatives, and shall not be required to access the core digital identity services of the Platform.
Verification statuses may include: Unverified, In-Progress, Verified, or Error.
All verification processes are accessible through both the Billions mobile app and the Billions web wallet.
Billions does not control or operate such third-party platforms and does not receive personal data from them, except as expressly described in the Privacy Policy.
6.2 Human Verification and Third-Party Providers
To access certain features, badges, or rewards, users may be required to complete additional human verification, which may include providing identification documents (such as a passport, national ID, or Aadhaar) and/or biometric data (such as facial images). These processes may be conducted via third-party providers and/or Billions Network.
By choosing to complete human verification, you acknowledge and consent to the collection and processing of your identification and biometric data as described in our Privacy Policy. Where biometric data is processed, we will do so only with explicit consent and as described in our Privacy Policy.
6.3 Credential Types and Availability
Billions may issue and/or offer different types of verifiable credentials depending on the verification steps completed by a user, including credentials that attest to (i) liveness/human verification, (ii) government ID verification, and (iii) uniqueness verification. The availability of any credential type may vary by jurisdiction, campaign, or eligibility requirements. Credentials may be subject to limits on issuance, re-issuance, revocation, and deletion.
7. Referral System
Users receive a unique referral link (e.g., billions.network/r/{unique_code}) that can be shared via social platforms. Referral rewards are automatically credited upon successful account creation by the referred user who meet the eligibility requirements
Users can track:
- The number of referred friends.
- The total Power earned from referrals.
- Their rank compared to other users.
8. Email Communication
The Platform will use Amazon SES to send emails, including:
- Social media engagement reminders.
- Updates on airdrop status changes.
- Notifications for users with inactive accounts.
In case of communications for promotional or commercial purposes, prior consent must be obtained from the user, who may unsubscribe at any time.
9. Privacy & Data Storage
We collect and store limited Personally Identifiable Information ("PII"), which may include:
- First name
- Avatar (if provided via Google authentication)
- User’s time zone
We collect and process only the personal and biometric information that is necessary to provide, secure, and improve our services. The types of data processed, retention periods, deletion protocols, and safeguards may vary depending on the authentication and verification method used and applicable regulatory requirements.
We aim to minimize the collection and processing of personal data and use privacy-preserving technologies (including cryptographic proofs) to enable verification without disclosing unnecessary information. Full details regarding what personal and biometric data we collect, how it is stored, and data subject rights (including deletion) are described in our Privacy Policy, which is regularly updated to reflect current practices and legal obligations.
10. Fees & Transactions
10.1 Network Fees and Blockchain Transaction Costs
The Platform does not charge fees for account registration, but users must cover any blockchain gas fees associated with blockchain transactions on supported networks (including Ethereum and other networks supported by the Platform). Gas fees are variable and determined by the applicable blockchain network.
10.2 Staking Services
The Platform may provide interfaces that allow you to interact with one or more smart contracts enabling you to stake BILL Tokens or other supported tokens (the “Staking Services”), exclusively for protocol participation, access to platform functionalities, reputation mechanisms, or other technical incentives, and not as an investment or savings product.
When you stake, you send tokens from your own wallet to a smart contract address and may ,subject solely to the protocol logic, become eligible to receive crypto‑asset rewards over a specified period, as determined by the parameters of the relevant smart contract. Billions does not at any time take custody of your private keys, does not intermediate transactions, and does not act as your broker, custodian, trustee, or crypto-asset service provider (CASP) in connection with the Staking Services.
Rewards under the Staking Services are determined exclusively by the underlying smart-contract logic and do not constitute interest, guaranteed yield, or any form of financial return which may take into account, among other things, the total tokens staked, the reward amounts funded to the contract, and the duration of each reward period. Reward rates may change over time and may increase, decrease, or drop to zero. No specific yield, APY, or reward amount is promised or guaranteed, and past rewards are not indicative of future results.
Staking may be subject to protocol‑level conditions, including lock‑up periods, minimum staking amounts, or withdrawal limitations. The applicable conditions will be disclosed in the relevant interface and/or smart‑contract documentation, and you are responsible for reviewing them before staking. You may be unable to withdraw or transfer staked tokens until any applicable lock‑up or other protocol restrictions have expired. The availability of the Staking Services may vary or be restricted due to technical, regulatory, or jurisdictional requirements.
Interacting with the Staking Services involves technological and blockchain‑related risks, including smart‑contract vulnerabilities, exploits, bugs, network congestion or forks, and failures or delays in transactions. These risks can result in partial or total loss of your staked tokens and/or rewards. To the maximum extent permitted by applicable law, Billions is not responsible for losses arising from smart‑contract code, third‑party protocols, or the underlying blockchain networks, which are outside of our direct control.
You are solely responsible for (i) verifying that you are interacting with the correct smart‑contract address, (ii) maintaining the security of your wallet, private keys, and recovery phrases, (iii) paying any applicable gas fees for staking, claiming, or withdrawing, and (iv) assessing and fulfilling any tax obligations associated with staking rewards and other crypto‑asset transactions in your jurisdiction. Billions does not provide tax, legal, or investment advice.
11. Acceptable Use and Prohibited Conduct
Users agree to access and use the Platform in compliance with these Terms, applicable law, and generally accepted standards of good faith, fairness, and lawful use.
You agree not to use the Platform for:
- Any illegal, fraudulent, or malicious activity.
- Circumventing security measures using VPNs, bots, or automation.
- Providing false or misleading information.
- Harassment, hate speech, or abusive behavior.
- Engaging in any action that disrupts the Platform’s functionality.
- Abusing any bugs or using technology to circumvent any restrictions or requirements applicable to any of our services or products, including, but not limited to, our APIs, consumer products (such as mobile apps and verification), business products (such as issuer nodes), and other core credential issuance and verification products.
12. Platform Availability, Modifications, and Termination
12.1 Platform Modifications and Availability
Billions Network reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. If a user violates these Terms, we may suspend or terminate their access to the Platform or to specific product(s) or feature(s), in accordance with Section 13 (Enforcement Actions, Remedies, and User Rights), to the extent permitted by applicable law.
12.2 Suspension or Termination for Cause
In the event that a user violates these Terms, engages in prohibited conduct, or otherwise poses a risk to the integrity, security, or proper functioning of the Platform, Billions Network may suspend or terminate the user’s access to the Platform, or to specific products, features, or services, in accordance with Section 13 (Enforcement Actions, Remedies, and User Rights).12.3 Updates to the Terms
Billions Network may update these Terms and Conditions from time to time. Where material changes are made, users will be notified through the Platform or other reasonable means..
13. Enforcement Actions, Remedies, and User Rights
13.1 Enforcement Principal Actions
Enforcement actions will only be initiated if there is a reasonable belief of a violation, and after a good-faith investigation, where feasible, users will receive advance notice before actions against their account(s).
In order to preserve the integrity, security, and fairness of the Billions Network, we may take responsive actions, applying clear and objective criteria, always proportionate to the severity and circumstances of the violation in the event of any violation of these Terms, suspected abuse, or prohibited activity, including but not limited to:
- Adjusting or removing Power, rewards, tokens, or related benefits accrued through non-compliant, fraudulent, or abusive means.
- Adjusting, cancelling, or withholding any unclaimed BILL Token allocations, airdrop entitlements, or staking rewards that are determined to have been obtained through non‑compliant, fraudulent, or abusive means, to the extent permitted by applicable law and technically feasible.
- Temporarily pausing or restricting participation in token‑related features, including any TGE, airdrop, or Staking Services, while an investigation is ongoing.
- Disqualifying users from participating in reward events, airdrops, or future campaigns.
- Temporarily or permanently suspending or restricting access to the Platform, specific product(s), or feature(s).
- Void, retract, or cancel any campaign participation, contest results, or promotions if found to be obtained in violation of these Terms.
- Initiating investigations or requests further information when abuse is suspected.
Permanent removal of user profiles will only be exercised in cases of demonstrated fraud, abuse, or other unlawful use of the Platform, and will be communicated to the affected user together with the reasons.
All enforcement actions shall be based on documented breaches of these Terms and/or applicable law.
Enforcement measures shall be proportionate to the nature, severity, and recurrence of the relevant conduct and shall be applied solely for the purpose of protecting the integrity, security, and proper functioning of the Platform.
13.2 Notification and Right to Appeal
Where a material enforcement action is taken,including but not limited to Power removal, account suspension, or disqualification from rewards, the affected user(s) will be notified in-platform and/or by email, together with a summary of the reasons for the action.
Users may contact Billions Support to request additional clarification or to appeal the decision, in accordance with the procedures set out by Billions Network
Where technically and legally feasible, enforcement decisions shall include a concise statement of reasons and shall be subject to internal review upon request by the affected user.
13.3 Data Handling, Privacy, and User Rights
Depending on the specific service or verification method, Billions may act as a data controller, joint controller, or processor, as further detailed in the Privacy Policy.
All enforcement activities and any related processing of personal data shall be carried out in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation – GDPR), in particular the principles of transparency, lawfulness, and fairness set out in Articles 12 to 14 GDPR, as well as our Privacy Policy.
Without prejudice to the foregoing, and in accordance with applicable law, users shall at all times have, among others, the following rights in relation to their personal data:
a) The right to receive clear, transparent, and easily understandable information regarding the processing of their personal data, including the legal basis for such processing and any enforcement measures that may affect them.
b) The right of access to their personal data.
c) The right to rectification of inaccurate or incomplete personal data.
d) The right to erasure of personal data, where legally applicable.
e) The right to restriction of processing in the cases provided for under applicable law.
f) The right to object to the processing of their personal data, where applicable.
g) The right to data portability, in accordance with applicable legal requirements.
h) The right to receive information about the logic involved and the envisaged consequences of any automated decision-making that significantly affects them, where applicable.
- The exercise of these rights shall be carried out in accordance with our Privacy Policy, including the applicable contact channels and response timeframes.
13.4 Recordkeeping, Transparency, and Compliance
Billions Network shall maintain a detailed record of enforcement and remedial actions, including the reasons for such actions and any adjustments made to user accounts, for audit, compliance, and support purposes.
All enforcement actions involving the withdrawal, adjustment, or cancellation of allocations, rewards, or tokens shall be supported by documented evidence of non-compliant or fraudulent activity, which shall be retained for audit and review purposes.
13.5 No Waiver and User Rights
The decision of Billions Network not to immediately enforce any measure shall not be construed as a waiver of its right to do so at a later time. Any enforcement action shall be exercised within a reasonable period and in compliance with applicable law and regulatory requirements.
Under no circumstances shall Billions Network’s discretion be interpreted as limiting or undermining the non-waivable rights of users, including those relating to personal data protection under the General Data Protection Regulation (GDPR) and any equivalent data protection or consumer protection regulations applicable in the user’s jurisdiction. In addition, Billions Network shall not exercise such rights in a manner that constitutes arbitrary or discriminatory treatment of users.
14. Intellectual property rights
The entire content of the Application, including but not limited to text, graphics, logos, icons, images, sound elements, videos, as well as the structure, layout and design of both the Billions mobile app and Billions web wallet, are the exclusive property of Billions Network S.A.
Any reproduction, representation, modification, adaptation, distribution or exploitation, in whole or in part, of any of these elements, by any means whatsoever, without the prior written authorization of Billions Network S.A, is strictly prohibited and may constitute an infringement of intellectual property rights punishable by applicable law.
The use of the Application or any attempt to copy, modify, or reproduce its design and content does not confer any intellectual property rights. Any unauthorized use may result in the suspension or termination of access to the Application, without prejudice to any legal action that Billions Network S.A. may take.
15. Disclaimers & Limitation of Liability
- Reaching certain levels qualifies users for eligibility in Airdrop opportunities; however, additional verifications may be required in the future.
- The Platform is not responsible for the final receipt of the AirDrop. While the Platform may classify users as eligible, it does not guarantee final receipt, as it may be subject to additional checks or conditions imposed by the AirDrop issuer.
- The Platform is provided on an "as-is" and "as-available" basis. We make no warranties regarding availability, accuracy, or security.
- Users are solely responsible for securing their Ethereum wallets.
- We are not liable for any financial losses, including lost Power or airdrop rewards.
- Blockchain transactions are irreversible; we do not have control over Ethereum network fees or transaction failures.
- We are not responsible for external links, nor for the content, products, or services offered on such websites. The inclusion of links on our Platform does not imply an endorsement or guarantee of the security or accuracy of the information provided by third parties. Accessing and using any linked external site is at your own risk, and we recommend reviewing their terms and conditions before engaging with them.
Billions maintains reasonable technical and organizational measures to support the security, availability, and resilience of its digital services, in line with applicable ICT risk management obligations.
16. Dispute Resolution
Any disputes shall be submitted to the courts of competent jurisdiction in Spain, unless mandatory consumer law in your jurisdiction provides otherwise.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.
